Assignment Clause

Explicitly grants you the right to assign the contract to a third party. Without this, you may not be able to wholesale the deal.

Inspection / Due Diligence Period

Gives you 7–10 days to inspect and cancel if needed. This is your buyer-out clause while you find an end buyer.

Earnest Money Provisions

Who holds the EMD, how much, and what happens if the deal falls apart — from either side.

Closing Date + Extension Rights

Closing window with mutual extension option — critical for when you need extra time to line up your buyer.

As-Is / Property Condition

Seller represents condition as-is without warranty. Protects you from post-closing repair demands.

Liquidated Damages

If seller defaults, specifies their liability — makes the contract more enforceable and gives sellers pause before backing out.
